Terms of Use

These Terms of Use ("Terms") govern your access to and use of Systly MLS Social Suite (the "Service"), operated by Systly LLC ("Systly," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and a licensed real estate professional, lender, or authorized representative of one to use Systly MLS Social Suite. By using the Service you represent that you meet these requirements and that the information you provide is accurate and current.

2. Description of the Service

Systly MLS Social Suite is a software-as-a-service platform that helps users automate the creation and publication of real estate marketing content to social media platforms (including Facebook, Instagram, Threads, LinkedIn, YouTube, and other supported platforms), respond to inbound comments and direct messages according to rules you configure, and track related activity.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use.

4. Connected Social Media Accounts

To use core features of Systly MLS Social Suite, you will authorize us to access certain social media accounts (for example: Facebook Pages, Instagram professional accounts, Threads accounts, LinkedIn profiles, YouTube channels) through their official OAuth flows. By doing so, you represent and warrant that:

  • You are the legitimate owner or authorized administrator of each connected account.
  • You have the right to grant Systly MLS Social Suite access and to publish content on those accounts.
  • Your use of the Service complies with the terms, policies, and platform policies of each connected platform — including, without limitation, the Meta Platform Terms, Facebook Community Standards, Instagram Platform Policy and Community Guidelines, Threads Supplemental Terms, LinkedIn API Terms of Use and Professional Community Policies, and YouTube API Services Terms of Service and YouTube Community Guidelines.

You may revoke access at any time through the social media platform's own settings. Revocation will end the Service's ability to publish, comment, or message on that account.

5. Subscription, Billing, and Cancellation

  • Pricing. Systly MLS Social Suite is offered on a paid subscription basis. Pricing tiers and features are as displayed at the time of signup or as we may update from time to time. We may change pricing for future billing periods upon notice; existing subscriptions will continue at the previously agreed rate through the current billing cycle.
  • Billing. Subscriptions are billed in advance on a recurring basis (monthly or annually) and automatically renew until cancelled.
  • Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • No refunds. Except where required by law, fees already paid are non-refundable, including for unused time within a billing period.
  • Failed payments. If a payment fails and is not resolved, we may suspend or terminate your access.

6. Your Content and Conduct

You retain ownership of the content you upload or publish through Systly MLS Social Suite ("Your Content"). You grant Systly a limited, non-exclusive, worldwide license to use, store, process, and transmit Your Content solely as needed to provide the Service.

You agree not to use the Service to:

  • Publish false, misleading, or deceptive real estate information.
  • Violate any law or any third party's rights (including intellectual property, privacy, or publicity rights).
  • Publish content that is harassing, hateful, defamatory, fraudulent, sexually explicit, or otherwise prohibited by applicable platform policies.
  • Spam, send unsolicited bulk messages, or evade platform rate limits.
  • Reverse-engineer, scrape, or interfere with the Service.
  • Misrepresent the source or ownership of an account.

You are solely responsible for ensuring Your Content and your use of connected accounts comply with applicable real estate advertising laws (including state DRE and federal Fair Housing Act requirements), platform policies, and all other applicable laws.

7. Third-Party Platforms

Systly MLS Social Suite interoperates with third-party platforms (including Meta, LinkedIn, Google/YouTube, and others). Your use of those platforms is governed by their own terms and policies. We are not responsible for changes, outages, deprecations, or policy decisions made by those platforms. Access to certain features may depend on the third party's continued availability and on your ongoing compliance with their terms.

8. Intellectual Property

The Service, including its software, design, logos, and content (other than Your Content), is owned by Systly LLC and protected by copyright, trademark, and other intellectual-property laws. No rights are granted to you except as expressly stated in these Terms.

9. Termination

You may terminate your account at any time by cancelling your subscription and emailing [email protected]. We may suspend or terminate your access for violation of these Terms, non-payment, fraud, abuse, or as required by law. On termination, your right to use the Service ends; we may delete your data as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE ANY SPECIFIC BUSINESS RESULTS OR ENGAGEMENT OUTCOMES FROM USING SYSTLY MLS SOCIAL SUITE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTLY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Systly LLC from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Riverside County, California, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a new "Effective Date." Material changes will be communicated by email to active subscribers. Continued use of the Service after changes take effect constitutes acceptance.
